Food Vendor Platform Agreement
1. Independent business
You are an independent business, not an employee, agent, franchisee, partner, or representative of Go Live Eats or Go Live Vegas, LLC. You control your food, pricing, schedule, staff, equipment, service locations, customer transactions, refunds, and operations.
2. Legal compliance is the vendor’s responsibility
You are solely responsible for determining, obtaining, maintaining, and displaying all permits, licenses, registrations, inspections, health approvals, food-handler credentials, insurance, vehicle approvals, tax registrations, location permissions, event permissions, and other requirements applicable to every place you operate. Availability on the platform is not approval, inspection, certification, or legal advice.
3. Accurate information and content rights
You will keep your business identity, contact details, menu, allergen statements, prices, hours, service area, images, links, permit information, and live status accurate. You have the rights and permissions needed for every logo, photo, description, link, and other submission. You will promptly correct or report inaccurate or unauthorized content.
3A. Existing-listing ownership claims
If you request connection to an existing Go Live Vegas or Go Live LA listing, you represent and warrant that you own the listed business or have documented authority to act for it; that the exact listing identifier and supporting evidence are complete and accurate; and that you are authorized to request transfer, syndication, or administration of the listing. Submission or payment does not establish ownership. We may contact the business, request additional proof, preserve a competing claim, reject or reverse a connection, suspend accounts, and retain claim and review records as reasonably needed for fraud prevention, disputes, legal compliance, and enforcement. Knowingly false or unauthorized claims are prohibited and may result in suspension, termination, referral to affected parties or authorities where appropriate, and responsibility under the indemnity provision below.
4. Live location and heartbeat authorization
When you choose Start Now Serving, you authorize the app to collect and transmit precise device location, timestamps, device installation identifiers, app/platform information, accuracy measurements, session status, and recurring heartbeat activity. You authorize Go Live Eats to convert that data into an approximate public vendor location and live/offline status and to syndicate an approved listing into applicable Go Live Vegas or Go Live LA market surfaces. Stop serving before moving, closing, lending the device, or when the location should no longer be published.
5. Food, customers, and claims
You are solely responsible for food preparation, ingredients, allergen disclosures, quality, temperature, sanitation, labeling, product claims, customer service, charges, taxes, refunds, injuries, illness, losses, and disputes arising from your operation. You must maintain commercially appropriate insurance where required or reasonably appropriate.
6. Review and enforcement
Payment or submission does not guarantee approval, publication, ranking, placement, impressions, customers, sales, revenue, or continued listing. We may request verification and may edit, pause, reject, suspend, or remove a listing, account, publication, promotion, or live status for accuracy, safety, legal, payment, policy, security, or operational reasons, subject to applicable law.
7. Fees and recurring billing
All charges occur through an authorized website, not in the mobile app. Each order identifies the one-time setup fee, recurring price, billing interval, taxes, initial total, renewal terms, cancellation method, and refund terms before payment. By separately accepting the Vendor Billing and Auto-Renewal Terms at checkout, you authorize Go Live Vegas, LLC and its payment processor to charge the selected setup fee and automatically charge the recurring fee until cancellation. App-store payment credentials are not collected for vendor subscriptions.
8. Indemnity
To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Go Live Vegas, LLC and its owners, officers, employees, contractors, and service providers from third-party claims, losses, damages, liabilities, and reasonable costs arising from your business, food, content, location, customer transactions, breach of this Agreement, violation of law, or infringement of another person’s rights. This does not apply where prohibited by applicable law or to the extent caused by an indemnified party’s own legally established misconduct.
9. Priority and local law
If this Agreement conflicts with the Terms, this Agreement controls for vendor-business matters. Mandatory federal, national, state, provincial, territorial, municipal, and local law remains controlling and is not waived.
